Community Buys help neighbours purchase together, creating larger, more predictable orders while giving customers genuine value.
Our role is simple. We build the demand. We collect the orders. We take the payments. We keep the community informed. You simply deliver one confirmed Community Buy.
This Agreement explains how we'll work together to build successful Community Buys and create long-term value for both your business and the SayCooee community.
This Agreement sets out the terms for businesses participating as Verified Suppliers on the SayCooee platform.
By creating a supplier account, listing products or participating in a Community Buy, you agree to these terms.
If you do not agree with these terms, you should not use the SayCooee supplier platform.
To become a Verified Supplier you must:
Approval is at the sole discretion of SayCooee. We may request additional information before approving or maintaining your supplier account.
Your Supplier Profile helps customers learn about your business. It may include:
You agree that all information you provide is accurate, current and not misleading.
Each Community Buy must clearly include: product name; product description; Community Buy price; minimum order quantity (MOQ); collection or delivery location; collection or delivery date; any applicable conditions.
You may edit a listing before it becomes live. Once a Community Buy is active, significant changes require SayCooee approval.
Community Buys are designed to benefit both customers and suppliers. The process generally works as follows: you create a Community Buy, SayCooee promotes it, customers place orders through the platform. Once the advertised Minimum Order Quantity has been reached, the Community Buy is confirmed, SayCooee collects payment, and you fulfil one confirmed order. SayCooee transfers payment to you after deducting the applicable Platform Fee.
If the advertised Minimum Order Quantity is not achieved before the Community Buy closes, the Community Buy will not proceed. Customers will not be charged. Neither party has any obligation to continue with that Community Buy.
As a Verified Supplier you agree to: provide products that match their description; maintain appropriate quality standards; honour all confirmed Community Buys; prepare and deliver orders within the agreed timeframe; immediately advise SayCooee of any issue affecting fulfilment; comply with all applicable Australian laws; maintain any licences, registrations and insurance relevant to your business.
If you supply food or beverages, you must also comply with all food safety legislation, council requirements and food handling regulations.
SayCooee is responsible for operating the platform. We will: promote Community Buys; build customer demand; collect customer orders; securely process payments; communicate with customers; coordinate collection information; pay suppliers in accordance with this Agreement.
While we actively promote Community Buys, we do not guarantee any minimum sales volume.
There are no joining fees or ongoing monthly subscription fees. You only pay a Platform Fee when a Community Buy is successfully completed.
The current Platform Fee will always be published before your Community Buy goes live. Platform Fees are deducted before payment is made to you. Changes to Platform Fees will only apply to future Community Buys.
From time to time, SayCooee may invite suppliers to become Community Partners: businesses that consistently support the SayCooee community through quality products, reliable fulfilment and successful Community Buys.
Community Partners may receive additional benefits including: reduced Platform Fees; featured placement; promotional campaigns; priority marketing opportunities; early access to new platform features.
Community Partner status is entirely at SayCooee's discretion and may be withdrawn if programme requirements are no longer met.
Customers join Community Buys because they expect genuine value. You agree that: Community Buy pricing will be genuine and offered in good faith; products will not be artificially increased in price before a Community Buy; all confirmed Community Buy prices will be honoured.
During an active Community Buy campaign, you agree not to promote substantially the same Community Buy offer through another community buying platform without SayCooee's prior written consent.
Nothing in this Agreement prevents you from continuing your normal retail business or selling products directly to customers outside a Community Buy.
SayCooee invests significant time and resources building communities, attracting customers and promoting Community Buys. To protect those relationships, you agree that you will not knowingly: establish substantially similar Community Buys with customer groups introduced through SayCooee for the purpose of avoiding Platform Fees; encourage customers to bypass SayCooee for future Community Buys; use customer information obtained through SayCooee to create independent buying groups outside the platform; intentionally undermine or replicate Community Buys organised through SayCooee.
This clause does not prevent customers from independently choosing to purchase directly from your business outside a Community Buy.
You acknowledge that SayCooee invests considerable time and resources building customer relationships, promoting Community Buys and developing the SayCooee platform. You agree not to intentionally exploit or undermine those relationships in a manner designed to avoid the SayCooee platform or its Platform Fees.
SayCooee collects customer payments as part of facilitating Community Buys. Following successful completion of a Community Buy, SayCooee will transfer payment to your nominated bank account after deducting: the applicable Platform Fee; payment processing fees (where applicable); any agreed refund adjustments.
You are responsible for ensuring your banking details remain accurate.
Customer information is provided solely for fulfilling Community Buys. Unless customers have separately consented, you must not: add customers to marketing databases; send promotional emails; use customer information for unrelated purposes; disclose customer information to third parties.
Both parties agree to comply with Australian privacy legislation.
If products are damaged, unsafe, materially different from their description or otherwise fail to meet Australian Consumer Law, appropriate remedies may apply.
Where SayCooee issues a customer refund because of a supplier-related issue, SayCooee may recover that amount from the supplier.
You are responsible for maintaining appropriate insurance and complying with all laws relevant to your business and products. Evidence of insurance may be requested by SayCooee at any time.
You retain ownership of your business name, logo, images and content. You grant SayCooee a non-exclusive licence to use this material for promoting your business, Community Buys and the SayCooee platform.
SayCooee provides the marketplace through which Community Buys are facilitated. Except where required by law, SayCooee is not responsible for: product quality; manufacturing defects; supplier negligence; supplier warranties; product recalls; supplier transport or delivery.
Nothing in this Agreement limits rights under Australian Consumer Law.
Either party may end this Agreement by providing written notice. Termination does not affect Community Buys already confirmed.
SayCooee may immediately suspend or terminate a supplier account where: this Agreement is materially breached; false information has been provided; products are unsafe or unlawful; repeated customer complaints remain unresolved; supplier conduct damages the reputation of SayCooee.
This Agreement is governed by the laws of New South Wales, Australia. If any provision is found to be unenforceable, the remaining provisions continue to apply. This Agreement represents the entire agreement between SayCooee and the Verified Supplier.
The following clauses survive termination: Fair Partnership; Customer Information; Payments relating to completed Community Buys; Intellectual Property; Limitation of Liability; any clause intended to continue after termination.
